Annual Reports | Biennial Reports

As a business entity registered with the state of Vermont, the business entity must maintain its good standing for as long as it does business in Vermont. This is accomplished by filing a regular information statement called an annual report or a biennial report, depending on the business structure.

The information needed is minimal in nature and merely confirms the vital information about your business. Please review the information specific to your business structure:

Annual Reports

Profit Corporations & Limited Liability Companies (LLC/PLC/L3C)

As a profit corporation, profit cooperative corporation, or a limited liability company (LLC/PLC/L3C), you must renew your business registration each fiscal year by filing an annual report each year within the first two and a half months following the fiscal year end on record with the Vermont Office of the Secretary of State.

For example, if your fiscal year end on record is December (12), your annual report is due anytime between January 1 and March 15 each year.

Limited Liability Partnerships (LLP) & Mutual Benefit Enterprises (MBE)

As a limited liability partnerships (LLP) or a mutual benefit enterprises (MBE), you must renew your business registration each calendar year following registration by filing an annual report anytime between January 1 and April 1 each year following your initial registration (regardless of fiscal year end).

How to File

You may now file your annual report online in a few easy steps:

  1. Log into our Online Business Service Center
  2. Click on “Online Services” on the left hand menu to open the drop-down menu
  3. Click on “File Your Annual/Biennial Report”
  4. Follow the on-screen prompts and enter all required information
  5. Click “Submit” on the final page

If you are a first-time filer, you will be prompted to create a new login. Keep this safe. If you are a returning customer, please use your assigned login from previous years.

To file your annual report by correspondence with a traditional paper check, you must complete the online filing process (above) and select this option at the end as a method of payment.

Biennial Reports

As a nonprofit corporation or a nonprofit cooperative corporation you must renew your nonprofit registration every two years, beginning the first year following initial registration, by filing a biennial report anytime between January 1 and April 1.

  3. Click on “File Your Annual/Biennial Report”
  4. Follow the on-screen prompts from there and enter all required information
